1. Agreement to Terms

These Terms and Conditions (“Terms”) govern your access to and use of the services, websites, platforms, content, and any related offerings provided by Alerik Music LLC (“Alerik Music,” “we,” “us,” or “our”).

By accessing, using, or engaging with Alerik Music in any capacity (including as an artist, client, contractor, partner, or visitor), you agree to be bound by these Terms. If you do not agree, you may not use our services.

2. Scope of Services

Alerik Music LLC provides services that may include, but are not limited to:

Artist management and representation
Music distribution and release coordination
Marketing, branding, and promotional services
Booking support and event coordination
Content creation and digital strategy
Royalty tracking and administrative support
Consulting and business development services

Specific services, compensation, and obligations may also be governed by separate written agreements, which will control in the event of a conflict.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use our services or enter into agreements with Alerik Music LLC.

4. Artist & Client Responsibilities

By working with Alerik Music, you agree that:

All information you provide is accurate and truthful
You have the legal right to any music, content, or intellectual property you submit
You are responsible for complying with applicable laws, contracts, and platform rules
You will not engage in unlawful, fraudulent, or harmful conduct

Alerik Music is not responsible for losses caused by false information, rights disputes, or third-party platform actions.

5. Intellectual Property

a. Alerik Music Property

All branding, logos, trademarks, website content, marketing materials, systems, and proprietary processes are the exclusive property of Alerik Music LLC unless otherwise stated.

b. Artist & Client Property

Artists and clients retain ownership of their music and content unless a separate written agreement states otherwise.

By submitting content to Alerik Music, you grant us a non-exclusive, royalty-free license to use, distribute, promote, and display such content solely for providing agreed services.

6. Payments, Fees & Royalties

Fees, commissions, splits, and payment schedules are defined in individual agreements
Payments processed through third-party platforms are subject to their terms
Alerik Music is not responsible for delays caused by banks, distributors, or platforms
You are responsible for all applicable taxes on earnings

Failure to pay agreed fees may result in service suspension or termination.

7. Third-Party Platforms

Alerik Music may use or integrate with third-party services (e.g., distributors, streaming platforms, social media, payment processors).

We do not control these platforms and are not liable for:

Account suspensions or removals
Algorithm changes
Revenue fluctuations
Platform policy enforcement

8. Confidentiality

Both parties agree to keep confidential any non-public business, financial, strategic, or proprietary information shared during the relationship, unless disclosure is required by law.

9. Termination

Alerik Music reserves the right to suspend or terminate services if you:

Breach these Terms or any agreement
Engage in illegal, abusive, or unethical conduct
Misrepresent ownership or rights
Fail to meet payment obligations

Termination does not waive outstanding payment obligations or accrued rights.

10. Disclaimers

Services are provided “as is” and “as available.”
Alerik Music does not guarantee:

Revenue amounts or success
Chart placement or streaming performance
Booking confirmations
Audience growth or viral results

Results depend on market conditions, artist participation, and third-party platforms.

11. Limitation of Liability

To the maximum extent permitted by law, Alerik Music LLC shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits or data.

Our total liability shall not exceed the amount paid to Alerik Music in the six (6) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Alerik Music LLC from any claims, damages, or expenses arising from:

Your content or intellectual property
Breach of these Terms
Violation of laws or third-party rights

13. Governing Law

These Terms are governed by the laws of the United States and the State in which Alerik Music LLC is registered, without regard to conflict-of-law principles.

14. Modifications

Alerik Music may update these Terms at any time. Continued use of services after changes constitutes acceptance of the revised Terms.
